1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the website located at www.aerosimple.com (the "Site"), operated by AeroSimple, LLC ("Aerosimple," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms apply to general visitors of the Site. If you are a customer using the Aerosimple software platform, your use of that platform is governed by a separate written agreement (the "Enterprise Software Agreement") between you and Aerosimple. In the event of any conflict between these Terms and the Enterprise Software Agreement with respect to the platform, the Enterprise Software Agreement controls.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Site. By using the Site, you represent and warrant that you meet these requirements.

3. Intellectual Property

All content on the Site — including text, graphics, logos, images, software, and the Aerosimple name and marks — is the property of Aerosimple or its licensors and is protected by U.S. and international intellectual property laws. You may view and download Site content for personal, non-commercial reference only. You may not copy, reproduce, modify, distribute, publicly display, or create derivative works from any Site content without our prior written permission.

4. Permitted Use

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use of the Site. Specifically, you agree not to:

  • Use the Site in any way that violates applicable law or regulation;

  • Attempt to gain unauthorized access to any portion of the Site, our servers, or any related systems;

  • Introduce viruses, malware, or any other harmful code;

  • Scrape, harvest, or otherwise collect information from the Site through automated means without our written consent;

  • Use the Site to transmit unsolicited communications or impersonate any person or entity.

5. Account Registration (Where Applicable)

Certain features of the Site — such as requesting a demo, downloading resources, or accessing gated content — may require you to provide contact information. You agree that any information you submit is accurate, current, and complete. You are responsible for maintaining the confidentiality of any credentials issued to you and for all activity that occurs under those credentials.

6. Submissions and Feedback

If you submit ideas, suggestions, or feedback to Aerosimple through the Site (whether through a contact form, email, or otherwise), you grant Aerosimple a perpetual, worldwide, royalty-free, non-exclusive license to use, modify, and incorporate such submissions into our products and services without obligation to you.

7. Third-Party Links and Services

The Site may contain links to third-party websites, including industry partners, integrations, and informational resources. Aerosimple does not control these third-party sites and is not responsible for their content, privacy practices, or terms of use. Accessing them is at your own risk.

8. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Site, you consent to the practices described in the Privacy Policy.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, AEROSIMPLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

Information on the Site — including product descriptions, customer stories, and technical content — is provided for general informational purposes and does not constitute a binding offer or warranty regarding the Aerosimple platform.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AEROSIMPLE AND ITS OFFICERS, EMPLOYEES, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE — WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE — EVEN IF AEROSIMPLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless Aerosimple, its affiliates, and their respective officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Site or violation of these Terms.

12. Modifications

Aerosimple reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

13. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or for any other reason in our sole discretion.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of [Wyoming/Delaware], without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in [County, State], and you consent to the personal jurisdiction of such courts.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and any Enterprise Software Agreement applicable to your use of the Aerosimple platform, constitute the entire agreement between you and Aerosimple regarding the Site.

17. Aerosimple Vigil Tip Line — SMS Terms

By placing a voluntary call to an Aerosimple Vigil airport tip-line number you may receive follow-up SMS messages from the same number. The terms below govern that SMS interaction.

Program description. The Vigil tip line is a customer-care SMS program operated by Aerosimple, Inc. on behalf of the airport whose tip-line number you called. Its purpose is to capture additional detail about a safety, security, or operational concern you have voluntarily reported by phone. Messages are conversational, sent only after an inbound call from you, and never marketing or promotional.

Cost. Aerosimple does not charge a fee for this service. Standard message-and-data rates may apply, as charged by your wireless carrier. Carriers are not liable for delayed or undelivered messages.

Frequency. Message frequency is conversational and recurring. A typical tip results in two to five messages.

Opt-in. Your inbound call to the published Vigil tip-line number, combined with the SMS-disclosure language posted on airport signage and the airport's website, constitutes consent to receive follow-up SMS from the same number. The first outbound SMS in any conversation restates the opt-out keyword.

Opt-out. Reply STOP (also: STOPALL, CANCEL, END, QUIT, UNSUBSCRIBE, REVOKE, OPTOUT) at any time. You will receive a single confirmation message and no further SMS from that number for this program.

Help. Reply HELP or INFO for a brief description and a link to these terms.

Supported carriers. All major US wireless carriers.

Privacy. See SMS Privacy Notice (/v/legal/privacy).

No third-party data sharing. Your phone number and message content are not shared with anyone outside Aerosimple, Inc., the airport whose tip line you called, and our messaging carrier (Twilio), and are not used for marketing.

Changes. Material changes to these terms will be posted here at least 14 days before taking effect.
